Terms of Service

1. Agreement
These Terms are an agreement between you, or the firm you sign up for ("Customer"), and Synseus Inc. ("Synseus"). By creating an account or using Synseus you accept them. If you accept on behalf of a firm, you confirm you have authority to bind it.
2. The service
Synseus provides software tools that help registered investment advisers analyse their own practice, using figures you enter and public regulatory data. Some tools are marked "in development" and some features, including CRM and calendar connections, are marked "coming soon"; these are not yet available. Features may change; we will not materially reduce a paid plan's core features during a billing period without notice.
3. Not investment, legal, tax or valuation advice
Synseus shows analysis, estimates and scenarios based on the inputs you supply and on public data. Results depend on those inputs and on stated assumptions, many of which you set. Synseus does not provide investment, legal, tax, accounting or professional valuation advice, and its outputs are not a substitute for your own professional judgement. You are responsible for the decisions you make and for anything you share with clients or third parties.
4. Accounts and seats
Each seat is for one named person. Keep your credentials secure and tell us of any unauthorised use. You are responsible for activity under your account.
5. Plans and payment
Plans, prices and seat counts are shown on our pricing page when you sign up. Every plan includes every available feature except the multi-user features (team seats, roles and the firm dashboard), which come with the plans that include more than one seat. Fees are billed in advance through Stripe, monthly or annually, and are non-refundable except where the law requires otherwise or we say so in writing. We may change prices for future billing periods with at least 30 days' notice. Taxes are extra where they apply.
6. Your data
You own the information you enter. You grant Synseus a licence to host, process and display it only to provide the service, as described in our Privacy Policy. You confirm you have the right to enter it. You can export your data or delete your account at any time from Settings → Privacy & Data; the Privacy Policy explains what each covers and what they cannot reach.
7. Public data
Public regulatory data is provided as published by its source, may be out of date or incomplete, and is shown for information only.
8. Acceptable use
Do not misuse or attempt to break the service; access it by automated means beyond normal use; reverse-engineer it; resell it; upload unlawful content; or enter other people's personal information unless you are entitled to.
9. AI features
Some features use a third-party AI model to generate text. Generated text may be incomplete or wrong; review it before relying on it or sharing it.
10. Availability
We work to keep Synseus available but do not guarantee uninterrupted service, and we offer no service-level commitment.
11. Confidentiality and security
We protect your information as described in our Privacy Policy and Security Overview.
12. Termination
You may cancel at any time; access continues to the end of the paid period. We may suspend or end accounts that breach these Terms. Your data is deleted when you ask for deletion, as set out in the Privacy Policy. Deleting your account cancels your subscription when the account is deleted, so you are not charged after that.
13. Warranty disclaimer
Except as these Terms expressly state, the service is provided "as is" without warranties of any kind, to the extent the law allows.
14. Limitation of liability
To the extent the law allows, Synseus is not liable for indirect or consequential losses, and our total liability is limited to the fees you paid in the 12 months before the claim.
15. Indemnity
You will indemnify Synseus against claims arising from your use of outputs with your clients or from content you enter unlawfully.
16. Changes to these Terms
We will give at least 30 days' notice of material changes, by email or in the product.
17. Governing law
These Terms are governed by the laws of Ontario and the federal laws of Canada that apply there, and disputes go to the courts of Ontario.
